Code Of EthicsPurpose & Scope - The purpose of our code of ethics is to promote and enforce ethical business practices and standards throughout the entire Adcock Ingram group.
- The code reflects the Company's core values and policy on ethics and accordingly should be carefully studied as it forms part of the expectations the Company has of all our employees and other stakeholders. An acceptance of employment with the Company is deemed to be an acceptance of the principles set out in this code. All directors, managers and employees of the Company must follow the practices and standards set out in the code, and seek guidance where necessary.
- The Company subscribes to the principles of the 2009 King Report on Corporate Governance for South Africa (King III), which principles are embodied in the code.
- Adherence to the code is seen as a strategic business imperative and a source of competitive advantage and applies to all activities of the Company and our employees, irrespective of the countries where the Company conducts business.
- The code is intended to raise ethical awareness and act as a guide in day to day decisions. It can also be used in training programmes and to help assure customers, suppliers and competitors of the integrity of our Company.

The mission, vision and values of the Company are all embodied in the standard of conduct that is expected of our directors, employees and all other stakeholders.
Code Of ConductThis code applies to the board of directors, managers and all other employees of the Company.
Conduct of Employees Towards Co-Employees and/or the CompanyThe Company's employees are committed:
- To deal courteously with each other, having regard for sensitivities and individual dignity and to recognise fellow employee's fundamental human rights.
- Not to engage in unlawful conduct.
- To always act honestly, refuse any bribe and report any harmful activity, suspected misconduct, corruption, fraud, theft, or any other wrongdoing at the workplace or elsewhere within the Company through the appropriate channels, for example to one of the Company's ethics officers or the whistle-blowing hotline available on Free Call: 0800 212 762, Free Fax: 0800 007 788, Email: Adcock@ethics-line.com
- To perform their duties diligently and efficiently, and in particular support and assist each other to fulfil the Company's commercial and ethical obligations. Consequently, they should strive to reduce inefficiencies in the Company and avoid a waste of the Company's resources (including time).
- Respect the terms and conditions of employment applicable to the Company, including all applicable policies and operating procedures.
- Not to accept any large or expensive gift, the value of which (exclusive of VAT) exceeds R1,000-00 (one thousand rand), from any person associated with the Company without having obtained the written approval of the Company secretary.
Conduct of the Company Towards EmployeesThe Company:
- Gives due attention to the training and development of employees, and seeks to provide safe working conditions, including adequate resources and competent supervision.
- Ensures a workplace that is free from racial, sexual or any other form of harassment and does not discriminate on any ground except to the extent strictly required by the inherent requirements of a particular job.
- Provides employment and promotes opportunities for those employees from historically disadvantaged backgrounds and who belong to designated groups in terms of the Employment Equity Act, 55 of 1998.
- Recognise employee's efforts by fair and adequate remuneration and by other means.
- Complies with all South African employment laws, including inter alia, the Labour Relations Act 56 of 1995, Employment Equity Act 55 of 1998 and Basic Conditions of Employment Act 75 of 1997.
Conduct of Employees Involving the Shareholders CompanyThe Company's employees:
- Do not allow company services including the use of labour, workshops, training centres and/or resources which do not normally form part of any employees' service benefits, to be used for private purposes, unless special approval has been obtained from the employees' managing executive, which approval would be subject to the employee paying for the use of the service or facility on the basis of cost to company.
- Do not carry on the business of the Company negligently or recklessly.
Conduct Involving Customers of the CompanyThe Company and our employees:
- Market the products of the Company accurately, honestly and in accordance with governing laws, regulations and other recognized codes and practices and where applicable, charge the agreed price, taking into account the relevant governing principles or, where no price was agreed, a fair price.
- Disclose relevant practical and scientifically validated product information which customers cannot reasonably learn for themselves and package the product according to the relevant regulations and, in a manner which is not misleading and meets the customers reasonable expectations.
- Not knowingly supply a defective or dangerous product, provide customers with a ready means of lodging complaints about the quality of the Company's products and replace any product which is below standard within set time-lines.
Conduct Involving Suppliers of the CompanyThe Company and our employees ensure:
- Good buying practices with suppliers of the Company and in particular shall inform suppliers of any bribe or attempted bribe by the supplier's personnel, terminate dealings with any supplier which bribes or attempts to bribe employees of the Company and ensure that no bribe is paid to personnel of a supplier of the Company.
- Compliance with debt obligations to suppliers to the Company on credit, manage the Company in a way which does not unjustifiably increase the risk to shareholders and other stakeholders of the Company and report honestly on the financial position of the Company to our creditors.
Conduct Involving the Company's CompetitorsThe Company and our employees:
- Achieve successes through the quality and affordability of the Company's products, making sure the Company's business methods are honourable, professional and legal. They consequently do not use unfair methods of competition such as colluding or agreeing prices for products with competitors or unfair or deceptive acts or practices in commerce which may have the effect or possible effect of minimizing or eliminating competition in the marketplace.
- Refrain from making dishonest or disparaging allegations concerning competitors of the Company or their products, nor do the Company and our employees cause any damage to competitors other than by lawful and/or accepted commercial competitive practices.
- Do not acquire confidential information of a competitor by espionage, the subordinating of the competitors' employees or any other improper means, for example bribing competitors' or customers' employees.
Conduct Towards Society At LargeDue regard is paid to environmental and public health considerations and the Company and our employees participate within the means of the Company in projects which will uplift the communities in which the Company operates.
Tip-Offs AnonymousTo ensure compliance with various applicable statutes, to protect the reputation of the Company as well as to build public trust and to prevent or address monetary harm and its spin-offs, the Company has set up a whistle-blowing hotline which is operated by Tip-Offs Anonymous, an independent organization.
This whistle-blowing facility enables employees, suppliers and customers of the Company and the public in general to confidentially and anonymously report any suspected misconduct, corruption, fraud, theft or any other wrong doing with a view to having it investigated and acted upon.

The Company commits itself to properly investigate any and all reports received by Tip-Offs Anonymous and to institute appropriate proceedings where necessary.
This code of ethics shall be adopted by the board of directors and reviewed from time to time to ensure that it remains relevant.
